Odesa, 3 Transportna St: 1,408 m² office campus≈$818,000 incl. VAT, with 0.73 ha land-use rights — and you can own the whole yard

This is not a state auction. A private Odesa joint-stock company, PrJSC TAST-GARANTIYA, is selling its own campus on Prozorro: office buildings A, B and G (two storeys each), a gatehouse, garage canopies and paving — 1,407.6 m² in total, equal to an 875/1000 share of all buildings in the yard. The photos show well-maintained buildings, finished offices and a landscaped yard, usable right away. Starting price UAH 37,073,369 including VAT (≈$818,000, ≈$581/m²). At least two bidders are required. Applications close around 20:00 Kyiv time on 29 November; the auction is on 30 November.

Three things to understand first: the remaining 125/1000 share (building V, 202.1 m²) belongs to another company, which has made an irrevocable offer to sell it to the winner at the same price per m²; the property is under a tax lien, so the buyer's first payment goes towards the seller's tax debt before ownership transfers; and the 0.73 ha of land is held under use rights and is not part of the sale.

👤 Who is this for

Best fit: a company setting up a regional headquarters in Odesa that needs offices, a vehicle fleet and light storage in one secure, self-contained yard (trading, logistics, engineering, pharma distribution); or an operator/investor planning a business park or serviced offices for long-term letting. Full comparison

Not for: buyers with a budget under $500k, anyone looking for street retail or sea views, or anyone unwilling to deal with the tax-lien procedure and land paperwork.

Who is selling, and why

Location and condition

Transportna St lies south of Odesa's main railway station: about 2 km from the station and 3.5 km from Derybasivska St in the centre (straight-line), in a mixed office, warehouse and residential area along the railway. It is not a retail location, but access is easy — well suited to offices, a fleet and light storage.

Unlike most auction lots, this campus can be used almost immediately. Parts of the buildings date from 1927, so have an engineer check the structure and roofs.

4

The 875/1000 share and building V: you can own 100%

All buildings in the yard are registered as one jointly owned complex. The seller holds 875/1000, corresponding to all of its own buildings; the other 125/1000 corresponds to building V (202.1 m²), owned by TOV "Transinzhyniryng". That company has attached an irrevocable offer to the auction:

That lets the buyer end up with 100% of the yard instead of sharing it with an unrelated co-owner. Have a lawyer confirm how enforceable the offer is.

5

Tax lien: pay first, title later

This is the point that needs most care. Under the sale passport and the draft "partial payment agreement":

  1. after the auction, the winner signs a partial payment agreement with the seller;
  2. within 2 business days the seller certifies the current amount of its tax debt;
  3. within 2 business days the buyer makes the "first payment" (at least the tax debt), which the seller uses to pay the tax authority;
  4. once the lien is lifted and deregistered, the main purchase agreement is signed, the balance is paid and title transfers.

Risk: when you make the first payment, the property is not yet yours. If the seller does not pay the tax, or the lien release is delayed, your remedy is contractual. Our advice: have a lawyer review the agreement before bidding, and negotiate for the first payment to go directly to the tax authority or through a notary deposit. Obtain an official statement of the tax debt before setting your maximum bid.

6

Land: 0.73 ha of use rights, not included

The land is owned by the City of Odesa; the seller holds 0.6212 ha in permanent use (2000) and 0.1139 ha in temporary use (2001). Rights to municipal land do not pass automatically with the buildings (Land Code, art. 120). After the transfer, the buyer applies to the city council for a lease (or to buy, art. 128), without a land auction (art. 134). Private companies can no longer hold new permanent-use rights, so a lease is the usual outcome. This takes time and money.

7

Is the price fair?

ComparisonPer m² incl. VATNotes
This campus (starting price)≈$581Self-contained yard, usable offices, parking, 0.73 ha land rights
Two full office floors in a city-centre tower (state enterprise sale)≈$576 (≈$675 with assumed debts)Floors in a high-rise, no yard; buyer takes over a state enterprise
Bankrupt retail space, Mala Arnautska St≈$668 (starting price)Retail space without its own entrance

Against other Odesa office lots currently at auction this is not cheap, but more of the price buys usable quality: a private yard, parking, landscaping, immediate use and the option to own it all. We have no reliable statistics on comparable campus sales; ask a local agent for prices of similar office yards before setting your limit. If fewer than two bidders apply, the seller may relist at a lower price.

Investment residence ($100k+)

Foreigners investing at least $100,000 in Ukraine's economy may apply for an immigration permit. Buying this campus through a Ukrainian company with foreign capital and using it for a genuine business (HQ, letting, services) fits that idea well in amount and form. However, permits are subject to an annual quota and are decided by the migration service — approval is not guaranteed. Funds must be foreign currency transferred from abroad with a documented source, and wartime procedures may change.

Risks

① Tax lien. First payment before title; tax debt amount not disclosed.
② Shared ownership. The building V offer must be legally checked; without it you share the yard with another company.
③ Land. Use rights do not transfer; a new lease is needed — timing and rent unknown.
④ Existing tenants. 192.5 m² in building B is let; leases survive the sale.
⑤ Old buildings. Parts date from 1927; check structure, roofs and services.
⑥ Two bidders minimum. A single application means no sale; we do not arrange "second bidders".
⑦ Security. Odesa is regularly hit by air strikes.

How to bid

  1. View the site (Mon–Fri, by appointment) with an engineer;
  2. Lawyer review of the draft purchase agreement, the partial-payment agreement and the building V offer;
  3. Get the tax-debt figure certified by the tax authority;
  4. Check the leases in building B (term, rent, termination);
  5. Ask the city council about converting the land rights to a lease and the likely rent;
  6. Set a maximum bid that includes building V, land paperwork and refurbishment.

Bidding requires a Ukrainian tax number and bank account; most foreign buyers use a Ukrainian company. We can support due diligence and bidding (due-diligence fee 1% of the starting price above $100,000; auction support 1% and closing 1% of the final price), delivered by our auction-services partner ТОВ «ЛЕНД ЕНД ЕКСПАТ» (Luqiao). AU139 never handles transaction funds.
